Receipt of CMB Approval on YKB’s Rights Issue Start of the Pre-emption Period

Yapı Kredi Bank (YKB) announces that on 11 July 2008, the Capital Markets Board (CMB) has approved YKB’s application with regards to the increase in the Bank’s issued capital by YTL 920,000,000 from YTL 3,427,051,284 to YTL 4,347,051,284 within the Bank’s registered capital ceiling of YTL 5,000,000,000. The rights offering application approved by the CMB has been registered with the Trade Registry on 15 July 2007.

All YKB shareholders will be able to exercise their pre-emptive rights for 15 days during the rights subscription period between 18 July - 1 August 2008.

New shares will be issued at a nominal value of YTL 0.01. Shareholders will be able to participate in the capital increase in proportion to their participation held in the Bank. YKB’s controlling shareholder, Koç Financial Services, will fully take up its right corresponding to its share of %81.8 in YKB’s capital.

Official completion of the capital increase process is expected by mid-August subject to obtainment of all regulatory approvals.

The capital increase is aimed at further supporting Yapı Kredi’s long term growth plan and leadership ambitions as well as strengthening its capital base and providing additional cushion in light of regulatory changes and financial volatility.
